Metasolv was in discussion with four other "potential acquirers" from Jan 2006 onwards before agreeing to the Oracle deal. The history of their negotiations, with prices bid etc, is available in the Metasolv DEF14A filed with the SEC.

This document also has a section on valuation, based on analysis by Raymond James. The price Oracle are paying looks fair, and the Discovery legal action will fail.

I don't understand this market well enough to know if the valuation was indeed reasonable. What's your sense for why the analysts' comments were negative on the valuation? I'm sure they would always want an even higher valuation, but in this case the comments seemed particularly negative. Any thoughts?
